This document supersedes all earlier planning memos, prior FP&A drafts, and the legacy $2.4M planning scenario. Capital Plan (v1.1) + Appendix A modeling assumptions are binding.
1.2 Seed Objectives: What the Seed Round Must Deliver
PropChain's Seed round funds the milestone path that gets the company from zero cash to a validated, deployable, revenue-generating predictive intelligence product with MLS-backed pilots. The objectives:

Deliver valuation, price trajectory, curb/reno intelligence, and block-level predictive signals integrated into a responsive app experience.

Power Terra Engine with curb-level proprietary data, GPS alignment, telemetry, and MLS-timestamp fusion.

Complete the freemium mobile app + partner dashboards
Give consumers and professionals predictive insights not available in the market today.

Operate Alpha → Beta → GTM pilots
Execute MLS-backed pilots in NJ + 1–2 ORI-2 states with curb and MLS fusion.

Must follow MLS/IDX compliant data boundaries.
Must keep marketplace/transactional features strictly Post-Seed.
Must gate hiring + GTM spend by objective KPI triggers.
Must retain ~90–93% founder + service provider equity ownership pre-conversion.

2.1 Governance & Authority
PropChain LLC authorized the Seed round through Manager/Member consents:
  • Approval of the Seed SAFE raise with cap/discount/MFN/pro-rata terms exactly as stated.
  • Authorization to issue SAFEs up to $1.6M.
  • Confirmation of service provider warrants (FSMAD, DS/MLE).
  • Ratification of IP assignment and ownership structure.

2.2 Prior Capital Contributions
PropChain has no prior outside investors and no debt, notes, SAFEs, or preferred equity instruments.
Founder contributions:

  • Pre-raise cash balance ≈ $500.
  • Short-term obligations ≈ $4,000 (cleared post-raise).

PropChain begins the Seed round with clean capitalization and full IP ownership.
